General Terms and Conditions (GTC)
for the use of the software Shiftmaster.cloud
1. Scope
1.1 These General Terms and Conditions (GTC) govern the use of the web-based software Shiftmaster.cloud (the “Service”), provided by ichverstehs.net (the “Provider”).
1.2 The GTC apply to all contracts between the Provider and its customers for the use of the Service under a software-as-a-service model (SaaS).
1.3 Deviating, conflicting, or supplementary terms and conditions of the customer do not apply unless their validity is expressly agreed in writing.
2. Subject of the contract
2.1 The Provider makes the Service available to the customer for planning, managing, and communicating on-call and shift schedules via the Internet.
2.2 The specific functionality, usage limits, and additional services are defined by the selected tariff or service plan.
2.3 The Provider owes the provision of the Service in its current version. There is no entitlement to specific functions or developments unless expressly agreed as part of the contract.
3. Contract formation
3.1 The presentation of tariffs on the website is not a legally binding offer but an invitation to place an order.
3.2 The contract is concluded once the customer completes the ordering process and the Provider confirms the order or activates the Service.
3.3 The contract is concluded in the German language.
4. Prices and payment
4.1 Prices are based on the tariff valid at the time of ordering.
4.2 All prices are exclusive of applicable statutory VAT, if any.
4.3 Billing is made in advance according to the selected billing period.
4.4 One-time setup or additional fees are due at the start of the contract.
4.5 The Provider may temporarily suspend access to the Service in case of payment default, provided the customer has been duly reminded beforehand.
5. Term and termination
5.1 The initial term depends on the selected tariff.
5.2 After the initial term, the contract renews automatically for an indefinite period and can be terminated monthly unless otherwise agreed.
5.3 Termination can be made electronically via the customer account or in text form.
5.4 The right to extraordinary termination for good cause remains unaffected.
6. Customer obligations
6.1 The customer must keep access credentials confidential and protect them from third-party access.
6.2 The customer is responsible for all activities carried out via their user account.
6.3 The customer ensures that all content entered or processed by them is lawful and does not infringe third-party rights.
6.4 The customer is responsible for the accuracy, completeness, and timeliness of their data.
7. Availability and maintenance
7.1 The Provider strives for high availability of the Service.
7.2 There is no entitlement to a specific minimum availability unless expressly agreed.
7.3 Planned maintenance may result in temporary restrictions or interruptions.
8. Liability
8.1 The Provider is liable without limitation for intent and gross negligence.
8.2 In cases of slight negligence, the Provider is liable only for breaches of essential contractual obligations and is limited to the foreseeable, typical damage.
8.3 Liability for loss of profit, data loss, or indirect damages is excluded to the extent permitted by law.
8.4 Liability for injury to life, body, or health and under the Product Liability Act remains unaffected.
9. Data protection
9.1 Personal data is processed in accordance with applicable data protection laws.

10. Support and communication

11. Amendments to the GTC
11.1 The Provider reserves the right to amend these GTC for objectively justified reasons.
11.2 Changes will be communicated to the customer in due time. If the customer does not object, the changes are deemed accepted.
12. Final provisions
12.1 The law of the Federal Republic of Germany applies.
12.2 The place of jurisdiction is, to the extent permitted by law, the Provider’s registered office.
12.3 If individual provisions are invalid, the validity of the remaining provisions remains unaffected.
